Software Warranty Agreement
Effective Date: January 1, 2025
I. Software Subscription, Warranty and Licensing
Starting from the date UnieAI completes the first license activation, delivers the license file, or delivers the installation package, UnieAI provides a limited software defect warranty and warranty service equal in length to the annual subscription period. The warranty period runs concurrently with the subscription period and terminates simultaneously upon the expiration, termination, or non-renewal of the subscription.
This Software is a generative AI platform installed in the Customer's own or designated on-premise GPU server environment, and is not a cloud SaaS service. The Customer shall build and maintain a compliant operating environment in accordance with UnieAI's installation documentation, deployment specifications, and technical requirements.
This warranty service applies only to deployment environments specified, verified, or confirmed in writing by UnieAI, including but not limited to the following conditions:
- Operating System:Only Ubuntu 22.04 is supported, or versions otherwise confirmed in writing by UnieAI.
- Hardware Requirements
- CPU: at least dual-core 2GHz or higher.
- GPU: 2 GPUs recommended; the actual number of GPUs, models, VRAM capacity, driver versions, and CUDA compatibility shall be confirmed with UnieAI in advance based on deployment scale, use case, and model requirements, and shall follow the requirements set out in the quotation, contract, or project specifications.
- Memory: at least 256GB RAM; actual requirements may increase depending on model size, number of users, concurrency, data volume, and deployed modules.
- Disk Space: at least 1TB of free space; actual requirements may increase due to model files, vector databases, knowledge base data, logs, backups, or other modules.
- Network Environment:A stable Internet or intranet connection may be required during software deployment, license activation, license verification, updates, or technical support. If the Customer deploys in an offline, closed-network, intranet, or special security environment, this shall be communicated to UnieAI in advance and handled according to the deployment method agreed by both parties.
- Other Dependencies:GPU drivers, CUDA, container environments, databases, model files, browsers, internal network settings, firewall settings, and other dependencies shall be configured in accordance with UnieAI's installation documentation or project delivery documentation. If the Customer unilaterally adjusts, updates, downgrades, removes, or reinstalls relevant environments, resulting in the platform being unable to operate normally, this is not covered by the warranty.
This Software may only be installed and used on GPU servers, equipment, data centers, private clouds, or deployment environments authorized by UnieAI or agreed by both parties. Without UnieAI's written consent, the Customer may not copy, transfer, distribute, rent, lease, sublicense, disassemble, reverse engineer, modify, or crack the Software, or install and use it on unauthorized devices or environments.
During the warranty period, if certain functions of the Software cannot be used normally according to the original delivery specifications due to code defects, abnormal system logic, or platform function defects in the UnieAI Software itself, UnieAI will perform maintenance, correction, or provide feasible workarounds for defects attributable to the UnieAI Software itself. UnieAI reserves the final right to determine whether an issue constitutes a UnieAI Software code defect.
The following situations are not covered by the warranty:
- The Customer fails to build the GPU server, operating system, GPU, drivers, CUDA, container environment, or other dependencies according to UnieAI's specifications.
- The Customer unilaterally updates, downgrades, modifies, or reinstalls the operating system, GPU drivers, databases, containers, model files, or other system components.
- The Customer unilaterally modifies the UnieAI Software program, configuration files, database structure, model files, license files, or deployment architecture.
- Inoperability caused by hardware failure, GPU abnormalities, network abnormalities, security policies, firewall settings, internal system restrictions, third-party software, or other factors not attributable to the UnieAI Software.
- Software abnormalities caused by unauthorized copying, relocation, installation, integration, reverse engineering, cracking, or improper use.
- Damage caused by force majeure, cybersecurity attacks, viruses, malicious programs, data corruption, or other factors not attributable to UnieAI.
For subscriptions that have expired and have not been renewed, UnieAI reserves the right not to respond, not to process issues, or not to provide free technical assistance.
The Software provided by UnieAI is only warranted to operate according to its original delivery specifications during the valid subscription period, subject to compliance with the designated on-premise GPU server deployment environment and licensing scope. After the subscription period expires, if the Software cannot be used normally due to operating system updates, GPU driver updates, CUDA version changes, discontinuation of third-party package support, hardware replacement, security policy adjustments, or other factors not inherent to the UnieAI Software itself, the Customer shall separately upgrade to a software version that supports the new environment. UnieAI does not provide free updates, free upgrades, or perpetual compatibility guarantees.
II. Software Updates
If code defects in the UnieAI Software cause significant abnormalities in platform computation, inference, analysis, search, generation, summarization, classification, or output results, UnieAI may, based on the actual circumstances, adjust program logic, fix functions, provide update files, or provide other feasible improvements.
Software updates in principle do not affect the Customer's existing data or legally obtained license rights; however, the Customer shall still complete necessary data backups, system snapshots, or recovery mechanisms before updating, in order to avoid data loss or service interruption due to environment differences, operational errors, or other factors not attributable to UnieAI.
Software updates are not limited by the subscription period. Before UnieAI terminates maintenance of a software version, the Customer may obtain applicable corrective updates for the software version it has purchased or licensed, free of charge.
The free updates described above are limited to bug fixes, compatibility patches, or necessary maintenance of the existing version, and do not include new functional modules, new model services, architectural revisions, performance expansions, customized development, cross-major-version upgrades, hardware migration, model redeployment, or data conversion services.
Software update files provided by UnieAI will be marked with the software version, build number, or update notes. The Customer shall select the applicable update version for installation based on the registered license version it has purchased, the on-premise GPU server deployment environment, and compatibility conditions.
If the Customer's deployment environment does not match the environment originally specified, verified, or confirmed in writing by UnieAI, resulting in the update file being unable to install, abnormalities after installation, or functions not operating normally, UnieAI may require the Customer to first adjust the environment to supported specifications before providing further assistance.
III. Software Upgrades
A software upgrade refers to a new version, new module, or new-generation platform product released in response to the product life cycle of the UnieAI generative AI platform, core architectural adjustments, model framework replacement, expansion of functional requirements, performance optimization, changes in deployment method, or the launch of a new product.
When a new version of the Software is released, the license keys, license files, serial numbers, or usage rights of the old version do not automatically apply to the new version. Unless otherwise agreed in writing or announced by UnieAI, the old version cannot be directly upgraded for use.
UnieAI may, based on the Customer's subscription status, purchase date, license scope, cooperation terms, and actual deployment circumstances, provide limited-time free upgrades, discounted upgrades, or project-based upgrade plans. Actual upgrade conditions, fees, and service content shall be subject to UnieAI's official quotation, contract, or announcement.
If an upgrade involves GPU server hardware expansion, GPU replacement, operating system updates, GPU driver updates, CUDA version adjustments, model redeployment, data conversion, system migration, environment reconstruction, customized adjustments, or on-site/remote technical services, the related work is not covered by the original warranty, and UnieAI may issue separate quotations and charges.
IV. After-Sales Technical Support
UnieAI's on-premise GPU server deployment software in principle provides online email technical support.
If the Customer encounters problems with software use, license activation, deployment environment, GPU computation, model loading, function abnormalities, or update installation, please email contact@unieail.com, providing a problem description, error messages, time of occurrence, system environment, GPU specifications, software version, logs, screenshots, or other necessary information to assist UnieAI in assessing and handling the issue.
UnieAI will respond and assist in handling the matter within a reasonable time based on the nature of the problem, license status, subscription period, service contract, and case complexity. If the problem involves client-side hardware, GPU, network, operating system, GPU drivers, CUDA, third-party packages, security restrictions, or other factors not attributable to the UnieAI Software, UnieAI may require the Customer to provide necessary cooperation or first resolve relevant environment issues.
If the Customer requires additional vendor technical services, on-site support, training, consulting services, customized feature development, API integration, model tuning, data integration, system relocation, environment reconstruction, or project maintenance services, please contact UnieAI separately. Both parties will issue separate quotations and charges based on the scope of requirements.
V. Generative AI Usage Restrictions and Liability Statement
The output content of the UnieAI generative AI platform may be subject to limitations arising from model capabilities, input data quality, training data scope, knowledge base content, prompt design, system configuration, hardware performance, and usage scenarios. UnieAI does not guarantee that all generated, analyzed, summarized, classified, searched, or inferred results are entirely correct, complete, real-time, free of bias, or suitable for any particular purpose.
The Customer shall review, verify, and exercise judgment regarding content produced by the platform. For high-risk uses involving law, healthcare, finance, investment, information security, personal data, contracts, or other matters, confirmation by personnel with relevant professional qualifications is required before the output can be used as the basis for decisions.
Except as otherwise required by law or otherwise agreed in writing by both parties, UnieAI shall not bear any warranty or compensation liability for decisions, actions, dissemination, use, or derivative losses arising from the Customer's reliance on content generated by the platform.
